WHEREAS, Enablerz is in the business of connecting coaches with corporate clients to provide professional coaching services

WHEREAS, Coach is a professional coach with expertise in [specific coaching field]

WHEREAS, Enablerz desires to engage Coach to provide coaching services to its corporate clients, and Coach desires to provide such services, on the terms and conditions set forth herein

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows

1 Services : Coach agrees to provide coaching services as requested by Enablerz and its corporate clients. The specific details of each engagement, including scope, objectives, and duration, will be agreed upon in writing for each assignment.

2 Performance : Coach agrees to perform the Services in a professional and diligent manner, in accordance with the highest industry standards and any specific requirements provided by Enablerz or its corporate clients.

1 Term : This Agreement shall commence on the date first written above and continue until terminated by either party as provided herein.

2 Termination : Either party may terminate this Agreement upon thirty (30) days written notice to the other party. In the event of termination, Coach shall be entitled to payment for Services performed up to the date of termination.

1 Payment Terms : Enablerz agrees to pay Coach for the Services provided within thirty (30) days of receipt of an invoice from Coach detailing the Services rendered and the fees due.

2 Expenses : Enablerz shall reimburse Coach for all reasonable and necessary expenses incurred in connection with the performance of the Services, provided that such expenses are pre-approved by Enablerz in writing and supported by appropriate receipts.

1 Confidential Information : Both parties acknowledge that during the term of this Agreement, they may have access to confidential and proprietary information of the other party or its clients. Each party agrees to maintain the confidentiality of such information and not to disclose it to any third party without the prior written consent of the other party.

2 Return of Materials : Upon termination of this Agreement, each party agrees to return all confidential information and materials belonging to the other party.

1 Non-Solicitation. Coach agrees that during the term of this Agreement and for a period of twelve (12) months thereafter, Coach shall not solicit, recruit, or hire any employees or clients of Enablerz without Enablerz's prior written consent. Coach will not engage with the Enablerz Corporate clients directly

1 Governing Law : This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.

2 Jurisdiction : Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

1 Amendment : This Agreement may be amended or modified only by a written instrument signed by both parties.

2 Waiver : No waiver of any term or condition of this Agreement shall be valid unless in writing and signed by the party against whom the waiver is to be enforced. No waiver of any breach of this Agreement shall be deemed a waiver of any subsequent breach.
